Role of Deputy Corporate Secretary

The Deputy Corporate Secretary position is a strategic role created for succession purposes so the incumbent may learn from the current corporate secretary and eventually lead the Corporate Secretary department. With mentoring from the corporate secretary, this role will support the company’s corporate governance. This position works closely with the corporate secretary, the company’s Board of Directors, its CEO, senior officers and the firm serving as General Counsel, and plays a significant role in the administration of corporate matters. The Deputy Corporate Secretary is also responsible for ensuring subsidiary corporate governance and supporting the activities related to the annual meeting of shareholders, maintaining key corporate documents and records, supervising certain stock transactions, and staying tuned to regulatory activities and requirements.  Additionally, the position is responsible for corporate mark management and ensuring corporate communications that are delivered consistently while preserving the corporate brand.

 

Under the guidance of the corporate secretary, more detailed responsibilities include:

  • Plan and execute all Board of Director and board committee meetings, create agendas, prepare materials and presentations, attend and draft minutes, and disseminate those minutes.
  • Maintain key corporate documents and records, storing, maintaining, retrieving and certifying.
  • Manage activities pertaining to the annual shareholder meeting.
  • Oversee Stockholder Relations including stock issuance, dividends, and transfer operations. Assist in investor communications.
  • Communicate to the company’s officers and directors all blackout periods for purchases and sales of the company’s securities.
  • Ensure compliance with laws and regulations as they relate to corporate governance.
  • Support the Board of Directors in carrying out its fiduciary duties.
  • Help establish corporate guidelines and processes for mark management that will ensure a strong American National brand that is defendable against individuals or entities that may try to take advantage of American National’s name and reputation.
  • Work with appropriate parties to ensure that corporate communications provide accurate information in a way that reinforces American National’s brand, vision and mission.
  • Oversee certain periodic filings with state insurance departments.
  • Other tasks as assigned or specific to American National.

Core competencies for this position include:

  • Bachelor’s degree in Business, Legal Studies, Communications or related
  • A thorough understanding of American National’s business
  • Demonstration of "executive presence"
  • Being able to lead and work within a multi-disciplinary setting
  • Discretion with confidential information
  • Maintaining appropriate perspective and protocols no matter how pressured a situation
  • Prior management experience leading a team of individuals
  • Excellent communication and interpersonal skills
  • Ability to work effectively with a varied group of professionals including financial, legal, and compliance
  • Strong analytical and problem-solving skills
  • A detail-oriented mindset
