American National is seeking an Assistant Vice President who will be an advisor on Pension Risk Transfer (PRT) legal/compliance matters and oversee the creation, filing, and negotiation of Group Annuity Contracts (GAC) for PRT transactions with the state departments of insurance.
What you will do:
- Provide legal advice to the pension risk transfer unit on all aspects of group annuity transactions
- Provide guidance on a range of factors to determine if the company’s group annuity contract meets annuity industry standards
- Draft, review and negotiate GACs, commitment agreements, legal contracts, and administrative services agreements and negotiate terms with policyholders and their advisors
- Draft and review specific information relating to benefits located in GACs
- Oversee document review, due diligence, and preparation process for PRT matters
- Ensure that company conduct is in compliance with applicable local, state, federal, and foreign laws and regulations, including U.S. state and federal insurance laws and regulation
Qualifications:
- Juris Doctorate
- Eight years’ + relevant industry experience
- Admission to the bar of any state in the U.S.
- Must possess comprehensive business insight and the ability to regularly engage in operational and business issues that extend beyond the core legal function
- Demonstrated ability to work well with and relate to company personnel at all levels
- Demonstrated history of results with a reputation for meeting commitments
- Knowledge and experience with U.S. state insurance laws including PRT-specific regulations
- Strong analytical and critical thinking skills with an ability to translate complex legal issues and concepts that are understandable for business partners and can lead to decisions.
Great to have, but not required:
- Four years + of experience in the PRT sector
- Transactional experience in a deal team setting with group annuity issuances
